1. Acceptance of Terms
By accessing or using UltraBMS ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
UltraBMS is a comprehensive building management system providing:
- Property and unit management
- Tenant onboarding and portal
- Rent invoicing and payment tracking
- Post-dated cheque (PDC) management
- Maintenance work order management
- Vendor management
- Financial reporting and analytics
- Email notifications via Gmail API integration
3. User Accounts
3.1 Account Creation
- Accounts are created by administrators; there is no self-registration
- You must provide accurate and complete information
- You are responsible for maintaining account security
3.2 Account Types
- Super Admin: Full system access
- Admin: Organization-level management
- Property Manager: Property-scoped access
- Finance Manager: Financial operations
- Tenant: Personal portal access
- Vendor: Work order access
4. Acceptable Use
You agree NOT to:
- Use the Service for unlawful purposes
- Attempt to gain unauthorized access
- Upload malicious code or content
- Interfere with Service operation
- Violate intellectual property rights
- Share account credentials
5. Google API Integration
5.1 Gmail Integration
The Service integrates with Gmail API to send notifications. By connecting your Google account:
- You authorize us to send emails on your behalf
- You acknowledge our Privacy Policy regarding Google data
- You may disconnect at any time from Settings
5.2 Compliance
Our Google API usage complies with:
- Google API Services User Data Policy
- Google OAuth 2.0 Policies
- Limited Use requirements
6. Payment Terms
6.1 Subscription
Access to UltraBMS requires an active subscription (details per your agreement).
6.2 Financial Data
- Financial data entered (invoices, payments, PDCs) is your responsibility
- We provide tools but do not provide financial advice
- Consult qualified professionals for financial decisions
7. Data Ownership
- Your Data: You retain ownership of all data you input
- Our Service: We retain ownership of the Service, software, and intellectual property
- Backups: We maintain backups but recommend you export critical data regularly
8. Service Availability
- We strive for high availability but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated in advance
- We are not liable for downtime beyond our reasonable control
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" without warranties
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed fees paid in the preceding 12 months
10. Indemnification
You agree to indemnify and hold harmless UltraBMS from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of third-party rights
11. Termination
11.1 By You
You may terminate by contacting support. Data export available upon request.
11.2 By Us
We may suspend or terminate accounts for Terms violations with notice where possible.
12. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Disputes shall be resolved in UAE courts.
13. Changes to Terms
We may modify these Terms with notice. Continued use constitutes acceptance.
